Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") form a binding agreement between you and HiveKey, Inc. ("HiveKey", "we", "us") governing your access to and use of our websites, products, and services (the "Service"). By accessing or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind it.

Where you have signed a separate master agreement or order form with HiveKey, that agreement governs and controls over any conflict with these Terms.

2. Accounts

You must provide accurate information and keep your credentials secure. You are responsible for all activity under your account and for your end users' use of the Service. Notify us promptly at security@hivekey.ai of any unauthorized access.

3. The Service

HiveKey provides a control plane that lets you scope, govern, and audit the actions of AI agents. We may update, improve, or modify the Service over time. We aim for high availability but do not guarantee uninterrupted operation; any service-level commitments are stated in an applicable order form or SLA.

4. Acceptable use

You agree not to, and not to permit others to:

• Use the Service to violate any law or third-party rights.
• Reverse engineer, resell, or circumvent usage limits or security controls.
• Upload malware or interfere with the integrity or performance of the Service.
• Probe or scan the Service except under our responsible disclosure program.
• Use the Service to enable harmful, deceptive, or abusive automated actions.

5. Fees & payment

Fees are set out in your order form or plan. Unless stated otherwise, fees are due in advance, non-refundable, and exclusive of taxes. Late amounts may accrue interest and result in suspension. We may revise pricing on renewal with notice.

6. Intellectual property

HiveKey and its licensors own all rights in the Service, including software, documentation, and trademarks. You retain all rights in your data and content. You grant us a limited license to process your content solely to provide the Service, as described in our DPA and Privacy Policy.

7. Confidentiality

Each party may access the other's confidential information. The receiving party will protect it with reasonable care, use it only to perform under these Terms, and disclose it only to personnel and advisors who are bound by confidentiality. These obligations do not apply to information that is public or independently developed without use of confidential information.

8. Warranties & disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, HiveKey disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free or that agent actions will always be correct.

9. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data. Each party's total aggregate liability arising out of or related to these Terms will not exceed the amounts you paid to HiveKey in the twelve months preceding the event giving rise to the claim.

10. Indemnification

You will defend and indemnify HiveKey against third-party claims arising from your content or your use of the Service in breach of these Terms, except to the extent caused by HiveKey's own breach.

11. Termination

Either party may terminate for material breach not cured within 30 days of notice. We may suspend access immediately for security risks or non-payment. Upon termination, your right to use the Service ends and we will make your data available for export and then delete it as described in the DPA. Sections that by their nature should survive will survive termination.

12. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware.

13. Changes to these terms

We may update these Terms from time to time. Material changes will be posted here with a revised "Last updated" date. Continued use after changes take effect constitutes acceptance.
